Shipowner Eligibility 

About the Flag

The Republic of Palau consists of eight principal islands and more than 250 smaller ones lying roughly 500 miles with maritime boundaries with Indonesia, Philippines and the Federate State of Micronesia. The Republic of Palau obtained full sovereignty in 1994 under a Compact of Free Association with the United States of America.

The Palau International Ship Registry was created by an amendment to the Title 7 of the National Code in 2010. The Palau International Ship Registry was appointed by the Government of the Republic of Palau as the Ship Registry Administrator and provides registrations of all types of vessels on behalf of the Government of Palau. The Registry is administered from Houston, Texas, USA.

Palau does not currently offer company formation services. There are no requirements concerning local ownership or participation in ownership.

Company Formation

Provisional Registration
A vessel's provisional Certificate of Registry is valid for 6 months but may be granted extensions as deemed appropriate by the Administration under special and compelling circumstances. This should give the shipowner or his representative sufficient time to gather all necessary documents required for permanent registration.
The required documents are listed herewith:
Request for confirmation of availability of vessel's name
A duly completed Application for registration of Ships form duly signed by the applicant. The registration of each vessel requires one application. This application includes the necessary information for the issuance of the Provisional Ship Station License.
Copy of Ownership by means of Bill of Sale, Builder's Certificate
International Tonnage Certificate (if applicable)
Valid Cargo Ship Safety Radio Certificate in compliance with GMDSS Code (as applicable)
Proof of compliance with ISM Code-Copy of Document of Compliance and Safety Management Certificate (as applicable)
Application for Minimum Safe Management Certificate
Confirmation from an authorized radio accounting entity undertaking the payment of vessel's radio license.
For provisional registration, the aforesaid documents may be submitted by fax or scanned copies by way of email.

Vessels under construction are eligible for registration.
Permanent Registration
Permanent Registration can be done at any time during the provisional registration period upon submission of the necessary documentation as well as with the relevant fees.
All documents submitted must be in the English language or, if they are in a foreign language, they must be accompanied by an official translation thereof.
Special Registrations
PISR provides special registration service for vessels to be registered for a short period under special circumstances such as one delivery voyage for scrap or vessel's delivery (new ownership or new building). This special registration is valid for three months with automatic expiration when this period elapses and no Deletion Certificate is issued.

Taxation

There are no assessed corporate or individual taxes in Palau applicable to nonresident individual or corporation including ship owners.

The Palau Registry levies an annual tonnage tax of $0.10 x NRT.

Registration and Documentation

Bareboat Charter Registration

Charter-In
Foreign registered vessels may obtain parallel or dual registration at PISR as a second Registry under the terms of a bareboat charter party. It is necessary that the First Registry grants its consent in writing. Upon submission of an authenticated copy of the bareboat charter party and the consent from the First Registry, the PISR will issue a Certificate of Registry and ship station license valid for up to two years.

Charter-Out
A vessel registered at PISR may obtain a parallel registration in another country’s registry based on a bareboat charter party. For this purpose, the applicant shall submit an application giving full details of the bareboat charter party. During the term of this registration, all annual fees and taxes applicable must be paid to the Palau Registry. Its title and any mortgages, liens or encumbrances thereon shall be recorded at PISR.

Vessel and Yacht Eligibility & Survey Requirements

The Palau International Ship Registry accepts all Classification Societies which are IACS members.

Crewing

The Palau International Ship Registry will endorsed those Certificates of Competence that are issued by “STCW White List” and the procedures for the Certificates of Endorsements and Issuance of Seaman’s Book aim for a fast and efficient process in order to allow the vessel to maintain its current trading obligations without any delays.

The Minimum Manning Requirements are based on:
• size and type of ship
• number, size and type of main propulsion units and auxiliaries
• construction and equipment of the ships
• method of maintenance used
• frequency of port calls, length and nature of voyages to be undertaken
• trading areas (s), waters and operations in which the ship is involved
• extent to which training activities are conducted on board
• applicable work hour limits and rest requirements

The Palau International Ship Registry does have a Minimum Manning Requirements set up as per the above factors, however, the owner / operator can communicate with the Flag its proposal if their crew arrangements differs with the minimum already established by the Flag.

Upon the Registration of the vessel and upon presentation of the Seafarer’s Documentation detailed below, the Palau Flag Administration will issue a Certificate of Processing of Certificate of Endorsement valid for three months. During these three months the validation of the Certificate of Competence will take place and a final Certificate of Endorsement will be issued with same validity as the Certificate of Competence.

Seaman’s Book will be issued during the three months that the validation of the Certificate of Competence takes place as well.

Documents required for obtaining Processing Certificate of Endorsement and Certificate of Endorsement:
• Medical Fitness Certificate
• Certificate of Endorsement confirming that the seafarer is qualified to operate the intended vessel.
• Passport or previous seaman’s book
• Application
• Confirmation of fees
• Crew List

Mortgages

Mortgage Recordation

A vessel under the Palauan flag can be used as security for the repayment of a loan or discharge of other obligations by way of mortgage filed in the standard form provided by the PISR. A valid mortgage, which includes the whole of any vessel, has preferred status from its date of recordation.

Once a vessel is registered, registration of mortgage may be effected immediately on presentation of the relative documents.

A preferred mortgage may secure all debts or obligations arising, or that may arise between the parties, as a result of a transaction which is subject to the provisions of a preferred mortgage, whether such obligations are present, future, actual or contingent and the preferred mortgage shall also set forth, in addition to the other terms and conditions, the maximum amount and the maturity date of the facility, or a statement of the date of termination of the facility, if this is different to the maturity date.

Recordation of the mortgage date and hour at which PISR proceeds with recordation is the date and hour at the location of the relevant head office of the PISR at which such recordation takes place and is effected.

A certified extract of a preferred mortgage, recorded with PISR, is acceptable as evidence of the recordation of a mortgage, including also the date of recordation thereof. In this regard, a certificate of ownership and encumbrance shall also, upon request, be issued evidencing all recorded mortgages, encumbrances and related instruments with respect to the vessel.

Discharge of a Mortgage

Upon a certificate of satisfaction of preferred mortgage provided by the mortgagee, a discharge of the mortgage indebtedness, shall forthwith file a certificate of such discharge and duly executed by the mortgagee, their successors or assigns, with PISR, which shall thereupon record the certificate.

Maritime Leins

The following rank as maritime liens, under Palauan law:

Claims for:
• Wages and other sums due to the master, officers and other members of the vessel’s crew in respect of their employment on the vessel, including costs of repatriation and social security contributions payable on their behalf;
• Master’s disbursements or liabilities made or incurred on account of the vessel; and
• unpaid fees, penalties and other charges, such lien having priority over all others save those for crew’s wages and salvage;
• Claims for repairs, supplies, towage, use of dry dock or marine railway, or other necessaries, to any foreign or domestic vessel upon the order of the shipowner or person authorised by the owner; and

Claims based in tort arising out of physical loss or damage to property caused by the operation of the vessel, other than loss of or damage to cargo, containers or passengers effects carried on the vessel

The Preferred Mortgage lien has priority over all claims against the vessel, except maritime liens:

• for damages arising out of a tort;
• for fees under s.729 (Fees: collection, penalties and liens) of the Act;
• for crew’s wages;
• for general average;
• for salvage (including contract salvage); and
• for expenses and fees allowed and costs awarded by the relevant Court.
