Belgium

Shipowner Eligibility 

The right to operate ships under Belgian flag is not limited to shipowners with Belgian nationality or shipping companies registered in Belgium. If they operate their vessels from Belgium, the following owners are entitled to operate under Belgian flag:

Individuals having the nationality of one of the member states of the EU
Individuals, whatever their nationality, having their domicile or principal place of residence in Belgium
Legal persons or bodies corporate having their real place of business in one of the member states of the EU
Ship operators who meet the same requirements can also directly apply for registration in their own name, provided the shipowner has explicitly consented thereto.

Registration is mandatory for vessels under construction at a Belgian shipyard and seagoing vessels owned by non-commercial Belgian legal persons.

Registration in Belgium is not limited in time.

About the Flag

Located in Western Europe bordering the North Sea between France and the Netherlands, Belgium is a federal constitutional monarchy with a civil law legal system influenced by English Constitutional theory. The King is the Chief of State; the Prime Minister is the Head of the Federal Government. There is a bicameral Parliament. Belgium is a member of the UN, NATO, OECD, EU, and the IMO. The capital is Brussels, and the principal languages are Dutch and French.

Belgium has a private enterprise economy, a highly developed transport network, and a diversified industrial and commercial base. It has few natural resources and therefore generally imports most raw materials. Exports include iron and steel, transportation equipment, tractors, and diamonds. Most of its trade is with other EU nations. The unit of currency is the Euro.

Ship registration in Belgium is governed by the Act of 21 December 1990 and the Royal Decree of 4 April 1996. By this legislation, Belgium finally abandoned the former strict link between shipowner’s nationality and vessel’s flag.

Belgian shipowners are free to register their vessels under a foreign flag and foreign shipping companies can operate their ships under Belgian flag provided that the vessels are operated from Belgium.

Company Formation

Most shipowning companies are established as a "naamloze vennootschap/societe anonyme" a limited liability company with a minimum of two shareholders. One of the shareholders may nevertheless hold all but one of the shares. The shareholders need not be established in Belgium or have its nationality and can be either bodies corporate or individuals. The minimum authorized share capital of a "naamloze vennootschap/societe anonyme" is 61,500.00 EUR. This minimum capital has to be fully paid up. At incorporation, at least 25% must be paid up in respect of each share. Shares are freely transferable and may be in registered or bearer form.

The board of directors must have at least three members, unless the company has only two shareholders in which case the board can be limited to two directors. Directors need not be Belgian citizens or shareholders of the corporation. The directors do not have to be natural persons; companies even those established under the laws of another country can be appointed as directors. Directors' meetings are normally held in Belgium but may be held outside the country.

Sale and leasing of ships and vessels that are used for transfer of passengers or commercial transport of cargo are exempt from Belgian value added tax ("VAT").

Finally, Belgian taxpayers may obtain binding advance tax rulings issued by a special taxation rulings service.

Registration and Documentation

In order to have a vessel registered in Belgium, an individual shipowner must submit to the Ship Registry in Antwerp an application containing his or her name, forename, place and date of birth, profession, nationality, principal place of residence, and domicile. Shipowning companies or bodies corporate registering a vessel under the Belgian flag are required to file an application stating the company name, registered office and real place of business; date, place and law of incorporation; name, forename, nationality, domicile, or principal place of residence of each of the directors, registered shareholders, and companies for which the shareholders are jointly liable. Since vessels can only fly the Belgian flag if they are operated from Belgium, the application for registration must also indicate the address and company number of the Belgian operator, as well as the name and address of the person representing the owner or operator at the Belgian office.

In addition, the application must state the following vessel particulars: name and call sign; port of registry; IMO number; year and place built; name of builder and shipyard number; ship type and particulars, GRT and NRT, breadth and length overall, and details of propulsion and day of original delivery of ship (i.e. by ship yard).

The application must be supported by following documents:
Authenticated copy of the articles of association with a declaration of a Belgian notary stating the names, domicile, and nationality of the directors and, as the case may be, the jointly liable shareholders and the holders of registered shares for owners that are bodies corporate
Certificate of nationality for shipowning individuals
Document of title (deed vesting, transferring or acknowledging property rights in the vessel)
Declaration by a Belgian notary confirming that the applicant meets the legal conditions for registering a vessel under Belgian flag
Certificate from the Companies' Registry for owners which are bodies corporate
Original and two copies of tonnage certificate
Certificate of non-registration or certificate of deletion to be issued by the country of last registration - showing also the status of encumbrances registered against the ship and indicating the last owner of the vessel

All documents must be originals unless otherwise noted. A certified translation is required for documents drafted in a language other than Dutch, French or German; international standard shipping documents and forms in English (e.g. BIMCO documents, Norwegian Sale Form, Bill of Sale, certificates etc.) don't need to be translated.

Bareboat Charter Registration

Belgian bareboat charter registration of foreign ships (DG Maritime Transport and Antwerp Ship Registry)
Foreign ships may be bareboat chartered in Belgium, provided that the directorate general of Maritime Transport (DG MAR) grants its consent.

The following documents have to be filed with DG MAR:
Application stating name, call sign, and port of registry of ship; IMO number; year and place of build; name of builder and shipyard number; ship type and particulars; gross and net tonnage; breadth and length overall; and details of propulsion
Authenticated copy of charter party
Recent authenticated certificate of registration issued by the registry of origin - showing also the status of encumbrances registered against the ship and indicating moreover the owner of the vessel
Original and two copies of the tonnage certificate issued by the authorities of the country of primary registration or by Belgian authorities
Deed executed by a Belgian notary containing the authorization by the owner to register the vessel at the request of the charterer & confirming that the Belgian registration requirements are complied with & stating the name, nationality, and domicile of the directors, and as the case may be, of the jointly liable shareholders and registered shareholders, both of owner and charterer; an extract from the Belgian companies' registry regarding the Belgian bareboat chartering company has to be attached to the deed; a copy of the articles of association of the companies has also to be supplied
Certificate of the authorities of the country of primary registration confirming that its national law permits bareboat charter registration and that the vessel concerned shall not be allowed during the period of bareboat charter registration to fly its national flag.

All documents must be originals unless otherwise noted.
A certified translation is required for documents drafted in a language other than Dutch, French or German; international standard shipping documents and forms in English (e.g. BIMCO documents, Norwegian Sale Form, Bill of Sale, certificates etc.) don't need to be translated.

The actual bareboat registration is affected at the Antwerp ship registry following the transmission of the approved file by DG MAR.

Bareboat charter registration abroad of Belgian ships (DG MAR and Antwerp Ship Registry)
Ships registered in Belgium may be bareboat chartered out and operated under a foreign flag pursuant to a bareboat charter registration abroad, provided that this bareboat charter registration has been consented to by DG MAR.

The consent for registering a Belgian ship in a foreign bareboat registry will only be granted if the charter party provides that the charterer shall not sub-charter the ship on a bareboat basis to a third party and that the charterer shall not change the name of the ship nor register it under a different name. All mortgagees of the vessel must have consented in writing to the bareboat charter registration.

In addition, the legislation of the country where the vessel will be bareboat charter registered, must meet the following conditions:
The registration of the ship shall be effected in a special bareboat charter register in the name of the bareboat charterer who has its registered offices or principal place of business in that country
The bareboat charter registry must provide that the property rights and the ownership are registered in the primary registry;
The bareboat charter registry shall not allow the registration of any encumbrances which can only be effected in the country of primary registration;
The property rights and the mortgages, as well as their rank and enforceability, remain governed by the law of the country of primary registration;
During the bareboat registration, the vessel shall fly the flag of the country of the bareboat charter registry;
The termination of the bareboat charter must imply the automatic cancellation of the bareboat charter registration;
The ship entered in the bareboat charter register shall not be allowed to be registered in the bareboat charter registry of a third country;
The bareboat charterer is personally liable for the operation and use of the vessel.

A certified translation is required for documents drafted in a language other than Dutch, French or German; international standard shipping documents and forms in English (e.g. BIMCO documents, Norwegian Sale Form, Bill of Sale, certificates etc.) don't need to be translated.

The DG MAR consent will be registered at the Antwerp ship registry and the Belgian flag will be suspended following the transmission of the approved file by DG MAR.

Vessel and Yacht Eligibility & Survey Requirements

At the time of application for registration, the vessel must not be more than 15 years of age. If the keel of the vessel was laid more than 15 years before the date of application, the vessel will not be eligible to be registered in Belgium unless a special certificate of conformity to the technical requirements of the Belgian navigation regulations is issued by the directorate general of Maritime Transport (DG MAR).
Furthermore, Belgian ships are not allowed to sail unless they have obtained a "certificate of seaworthiness" issued by DG MAR.

Such a certificate is issued after a thorough inspection by DG MAR survey services. DG MAR has to be satisfied that the ship complies with all Belgian safety regulations. Such regulations are largely based on international conventions such as SOLAS, Marpol, etc.

Yachts (DG MAR and Antwerp Ship Registry
Yachts with a length not exceeding 24 m, that are to fly the Belgian flag, have to seek registration at the registry of pleasure craft which is part of the directorate general Maritime Transport (DG MAR).
Should a ship mortgage be registered against the yacht, a second registration on the register of seagoing ships has to be sought at the Antwerp ship registry.

Mortgages

(Antwerp Ship Registry)
Ship mortgages are also registered at the registry where registration of ships is effected, i.e. at the Antwerp Ship Registry.

Registration of mortgages is valid for 15 years.
Belgium is a party to the International Convention for the Unification of Certain Rules of Law Relating to Maritime Liens and Mortgages, 10 April 1926, Brussels.

Mortgages on ship are governed by the Belgian Maritime Act, title I (presently in the process of being reviewed).

Fees

The fees and costs are to be paid only once at the time of application for registration; the registration is valid for as long as the shipowner wishes to fly the Belgian flag;
No periodic fee (every year or every five year) will be collected afterwards.

Apart from the fees and costs to be paid to the ship mortgage registry, there are additional costs generated by:
Prior registration of deed of sale (50 EUR) and/or deed of mortgage (50 EUR) and/or deed of discharge (50 EUR) at the registration office;
Technical documents to be issued by the Directorate general of Maritime Transport (DG MAR)

The main fees are as follows:
For registration of ship (registration of document of title):0.070 % over the price of the ship
For registration of ship mortgage deed: 0.070 % over amounts to be secured
For bareboat charter registration of ship: 1386.10 EUR per year of charter period
For the cancellation of a mortgage registration: 0.070% x 1/5 over the secured amounts.
